Modern Slavery, Sustainability & Responsible Sourcing

1. Commitment to Ethical Business

Extracta Pty Ltd ("Extracta") is committed to conducting business ethically, sustainably and responsibly. Extracta expects all suppliers, manufacturers, distributors, contractors and business partners to operate in accordance with applicable laws and internationally recognised principles relating to human rights, labour standards, environmental protection and responsible business conduct.

The Supplier acknowledges that these requirements form an essential part of its commercial relationship with Extracta.


2. Modern Slavery

The Supplier warrants that neither it nor any entity within its supply chain:

  • engages in modern slavery;
  • uses forced labour;
  • uses bonded labour;
  • uses prison labour (unless legally permitted and voluntary);
  • engages in human trafficking;
  • uses child labour in breach of applicable laws;
  • withholds employee identity documents;
  • requires recruitment fees that create bonded employment;
  • engages in deceptive recruitment practices.

The Supplier must maintain policies and procedures reasonably designed to identify and prevent modern slavery risks throughout its operations and supply chain.


3. Labour Standards

The Supplier agrees to:

  • comply with all applicable employment legislation;
  • pay employees lawful wages and benefits;
  • provide legally required leave entitlements;
  • ensure working hours comply with local legislation;
  • prohibit discrimination, harassment and abuse;
  • provide a safe and healthy workplace;
  • allow employees to leave employment freely after reasonable notice.

4. Responsible Sourcing

The Supplier agrees to source materials responsibly and, where reasonably practicable:

  • purchase from lawful suppliers;
  • maintain traceability of raw materials;
  • avoid materials linked to illegal activities;
  • avoid suppliers known to breach labour or environmental laws;
  • implement appropriate supplier due diligence.

Upon request, the Supplier shall provide information reasonably required to demonstrate product origin and supply chain traceability.


5. Environmental Sustainability

The Supplier agrees to minimise its environmental impact by:

  • complying with environmental legislation;
  • reducing waste where practical;
  • minimising pollution and emissions;
  • managing water responsibly;
  • using energy efficiently where commercially practicable;
  • complying with all waste disposal regulations.

Extracta encourages suppliers to implement continuous environmental improvement initiatives.


6. Responsible Agricultural Practices

Where agricultural products are supplied, the Supplier shall use commercially reasonable efforts to:

  • minimise unnecessary chemical inputs;
  • protect soil health;
  • manage water resources responsibly;
  • preserve biodiversity where practical;
  • comply with all applicable agricultural regulations.

7. Food Safety & Quality

The Supplier shall:

  • comply with all applicable food safety legislation;
  • maintain appropriate food safety systems;
  • notify Extracta immediately of any contamination, recall or regulatory investigation affecting supplied goods;
  • maintain complete batch traceability.

8. Animal Welfare

Where animal-derived materials are supplied, the Supplier shall comply with applicable animal welfare legislation and industry standards.


9. Anti-Bribery & Corruption

The Supplier shall comply with all applicable anti-bribery and anti-corruption laws and shall not offer, request or accept any improper payment, gift or advantage intended to improperly influence business decisions.


10. Compliance Monitoring

Upon reasonable notice, Extracta may request documentation demonstrating compliance with this Agreement, including:

  • labour policies;
  • modern slavery policies;
  • sustainability policies;
  • supplier questionnaires;
  • certifications;
  • traceability documentation;
  • audit reports where available.

Extracta will exercise this right reasonably and with due regard for commercially confidential information.


11. Notification of Non-Compliance

The Supplier shall promptly notify Extracta if it becomes aware of:

  • any actual or suspected modern slavery;
  • significant breaches of labour laws;
  • significant environmental breaches;
  • material food safety incidents;
  • any circumstance that may materially affect compliance with this Agreement.

12. Corrective Action

Where Extracta reasonably believes a material breach has occurred, the parties will work together in good faith to develop and implement a corrective action plan within a reasonable timeframe.

Failure to implement agreed corrective actions may constitute a material breach of this Agreement.


13. Termination

Extracta may terminate this Agreement immediately by written notice if:

  • the Supplier is found to have engaged in modern slavery;
  • the Supplier knowingly provides false compliance information;
  • the Supplier commits a serious breach of applicable labour, human rights or environmental laws;
  • the Supplier fails to remedy a material breach within the agreed corrective action period.

14. Continuous Improvement

Extracta recognises that responsible sourcing is an evolving process. The parties agree to work collaboratively to improve transparency, sustainability, ethical sourcing and environmental performance throughout the supply chain.
